While it's true that Burton's Penguin was a major departure from the comics, he still had a lot in common with the character. Most of the familiar elements were there, just layered with several new ones which helped make him darker and more three-dimensional.
If anything, he has more in common with the Mutant Leader from The Dark Knight Returns than he does Croc (especially since TDKR was an influence in the screenplay)

And even if they somehow wanted to add Croc, Warner Bros demanded Penguin.

And that kind of answers itself. Burton didn't care about Penguin and had no idea what to do with him, so he and Waters rewrote him to fit what they wanted for the movie. And it was exactly what the character needed to put his campy 66 days behind him
