Stand had aquired Stark Industries legally but then immediately basically began selling weapons to the highest bidder under the table, including criminals and rogue states. For awhile Stark thought Stane was just running his company and honestly doing so better then he had (Stane had spent much time driving Tony to alcholism and the company vastly deteriorated in success as a result), so he let Stane go and focused on rebuilding his life in California mostly.
After he discovered Stane was not only a dickhead corporate executive but a criminal Stane decided the smart thing to do was kill Stark, eventually deciding to do it personally in his Iron Monger armor.
Tony's Silver Centurion armor had been built by this time and it was a LOT more powerful then Stane's Iron Monger armor, in addition to actually being piloted (Stane's armor was basically being piloted remotely by computer while Stane just wore it), and Tony thrashed him after a relatively short fight.
Stand, refusing to surrender himself to the authorities, took off his helmet and turned his repulsor on his own exposed head rather then face charges and go to jail.
