Gwen loves him for who he is, but his insecurity and jerkiness leads him to think he doesn't deserve her and isn't worthy of being with her if she's special and he's nothing. He tries to science experiment himself to become like her and it goes wrong, turning him into that universes Lizard.
Gwen, having to stop him from a rampage, mortally wounds him and he dies in her arms after reverting to human.
He's her uncle Ben, except worse - she's driven to heroism by being profoundly depressed, that she killed Peter, and that she was the reason behind what happened. Witnesses also saw her with the dying/dead Peter, so Spider-Woman's public image pushed by JJJ is that she's a murderer, and JJJ basically pushed the Parker's into thinking that too and using them as the face of his anti Spider-Woman campaign. So she's got a pretty crushing weight on her shoulders.
Spider-Gwen's a great concept, I really like it. But the unfortunate thing is, it just lost focus thanks to a renumbering, some crossover stuff stalling things, and the writer occasionally just getting a bit too far up his own ass trying to build his own little Ultimate Universe equivalent instead of just sticking with Gwen. I'm a bit behind so maybe it gets back on track. I hope it does.
