Like, nothing is a direct threat to him so he just doesn't even bother or somethingThat's true, but he also happens to be quite vain and perpetually angry, and he sometimes checks up on Dem and Flug on much less important missions (he even showed up in person in Victor and Valentino's dimension at the end of the episode apropos of nothing) so it's odd that he didn't react when it looked like Heed was clowning on him all this time with full force, he could've at least appeared at the end to get the last laugh. I mean, the whole purpose of Black Hat Org is to spread evil and hatred and destroying and corrupting heroes, and Heed was doing like the exact opposite of that, she was stealing BH's important clients and "turning them good" and making them into her love-struck simps (for over a year), all in the name of the Superman knockoff who's the symbol of love and do-goodery in the Villainous universe, and she was able to do that thanks to the chemical that she mooched off of BH's current right-hand man when they were both in the school for villains created by BH that she abandoned to become a high profile hero herself, she even came back to mindwash the right-hand man in question into becoming her slave and creating a stronger version of the chemical for her, and she nearly succeeded. IIRC, Black Hat has a special distaste for villains who pulled a heel-face turn, and the punishment for people associated with him who became heroes is death or worse, so idk how she even managed to deflect from the school. Also, it's possible that Heed was one of the few surviving agents from the secret organization that existed to take down Black Hat and that managed to hack his secret website. So basically, it's like Heed was taking and breaking Black Hat's favorite toys, all while aggressively dabbing, T-posing, and shaking her ass to the tune of Victory Dance, and he did jackshit. It's bizarre.
